1. Introduction

Welcome to RouterShift. By accessing or using our services, including our website, API, and related tools (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using the Services. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use the Services. By creating an account, you represent and warrant that you meet the applicable age requirements and that the information you provide is accurate and complete. The Services are not intended for use by individuals under the age of 13, and we do not knowingly collect personal information from children.

3. Account Registration

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. API Keys and Authentication

API keys are issued to you upon registration and are used to authenticate requests to the RouterShift API. You are responsible for keeping your API keys secure and confidential. Do not share your API keys, embed them in client-side code, or commit them to version control systems. We reserve the right to revoke or rotate API keys at any time for security reasons or in the event of a violation of these Terms.

5. Payment Terms

RouterShift operates on a prepaid wallet model. You add credits to your account, and charges are deducted based on your API usage at the rates published on our pricing page. All fees are in U.S. dollars (USD) unless otherwise stated. We reserve the right to change pricing with reasonable notice. Refunds are issued at our discretion and in accordance with applicable law. You are responsible for any taxes, duties, or fees imposed by your jurisdiction.

6. Model-Specific Terms

The models accessible through RouterShift are provided by third-party AI providers. Each model may be subject to additional terms, usage policies, and acceptable use restrictions imposed by the respective provider. You agree to comply with all applicable third-party terms when using specific models. RouterShift does not control or assume responsibility for the content generated by AI models, and you use model outputs at your own risk.

7. User Content

You retain ownership of all content you submit to the Services ("User Content"). By submitting User Content, you grant RouterShift a limited, non-exclusive license to process, transmit, and store your User Content solely as necessary to provide the Services. You represent that you have all necessary rights to submit User Content and that your User Content does not violate any applicable laws or third-party rights.

8. Prohibited Conduct

You agree not to use the Services for any unlawful, harmful, or abusive purposes. Prohibited activities include, but are not limited to: generating or distributing illegal content, hate speech, harassment, malware, or spam; attempting to circumvent rate limits, security measures, or access controls; using the Services to develop competing products; scraping or data mining beyond authorized use; infringing intellectual property rights; and violating the privacy or data protection rights of others. We reserve the right to investigate and take appropriate action, including account suspension or termination, for any violation of this section.

9. Intellectual Property

RouterShift and its licensors own all rights, title, and interest in the Services, including all software, documentation, trademarks, and content (except User Content). These Terms do not grant you any right, title, or interest in the Services except for the limited right to use the Services as described herein. RouterShift's name, logo, and product names are trademarks of RouterShift. You may not use them without our prior written permission.

10. Confidentiality

You acknowledge that in the course of using the Services, you may have access to confidential information belonging to RouterShift, including but not limited to technical data, business strategies, pricing information, and unpublished API features. You agree to protect the confidentiality of such information and not to disclose it to third parties without our prior written consent.

11. Third-Party Services

The Services integrate with and provide access to third-party AI models and services. RouterShift is not responsible for the availability, accuracy, or reliability of any third-party services or content. Your use of third-party services may be subject to additional terms and conditions. We do not endorse, warrant, or assume liability for any third-party products or services accessed through RouterShift.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without cause, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services ceases immediately. We will make reasonable efforts to allow you to export your data before termination, where applicable. Provisions of these Terms that by their nature should survive termination will survive, including payment obligations, disclaimers, and limitations of liability.

13. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ROUTERSHIFT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT AI MODEL OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES. YOU USE THE SERVICES AND RELY ON AI-GENERATED OUTPUTS AT YOUR OWN DISCRETION AND RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROUTERSHIFT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL ROUTERSHIFT'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO ROUTERSHIFT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California, and shall be conducted in English. You agree to resolve disputes on an individual basis; class actions and class arbitrations are not permitted. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

16. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will provide notice through the Services or by email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services. We encourage you to review these Terms periodically. The date at the top of this page indicates when these Terms were last updated.
